Terms of Service

1. Agreement to These Terms

By registering for, accessing, or using the Boise Street Smarts platform and services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Boise Street Smarts LLC ("Company," "we," "us," or "our"), a limited liability company organized under the laws of the State of Idaho.

2. Description of Service

Boise Street Smarts provides a hyperlocal notification platform for Boise, Idaho residents. The Service delivers address-specific alerts and reminders including:

• Garbage and recycling pickup day reminders, including holiday schedule changes
• Street sweeping alerts for your maintenance zone
• Construction, road closure, and utility work notifications near your address
• Other municipal service alerts as we expand the platform

Notifications may be delivered via SMS text message, email, or web notification depending on your preferences. The Service is currently limited to the Boise, Idaho metropolitan area.

3. Eligibility and Account Registration

You must be at least 18 years of age to use this Service. By registering, you represent and warrant that:

• You are at least 18 years old
• You are providing accurate, current, and complete information about yourself
• You will promptly update your information if it changes
• You have the legal authority to enter into this agreement

You are responsible for maintaining the confidentiality of any account credentials and for all activity associated with your registration.

4. Your Consent to Lead Generation

This section is important. Please read it carefully.

By checking the consent box during signup, you expressly agree that your contact information, including your street address, may be shared with relevant Local Service Providers in your area. This sharing is part of how we fund the free service we provide to you.

"Local Service Provider" means a third-party business or professional offering services relevant to your home, property, or neighborhood, including but not limited to: general contractors, landscapers, snow removal providers, cleaning services, pest control, HVAC companies, electricians, plumbers, roofers, moving companies, real estate professionals, and home improvement providers.

Local Service Providers may contact you directly by phone, text, or email. Boise Street Smarts does not control, guarantee, endorse, or take responsibility for the quality, licensing, insurance status, or conduct of any Local Service Provider. Any disputes arising from your interactions with Local Service Providers are between you and that provider.

You may opt out of lead sharing at any time by contacting us at boisestreetsmarts@gmail.com or replying STOP to any SMS. Opting out does not affect your service alerts.

5. SMS Communications and Consent

By providing your phone number and agreeing to these Terms, you consent to receive recurring automated SMS text messages from Boise Street Smarts regarding municipal service alerts for your address. Message frequency varies. Standard message and data rates may apply.

Reply STOP to cancel. Reply HELP for assistance. You may also contact us at boisestreetsmarts@gmail.com to manage your SMS preferences. Opting out of SMS will not delete your account or remove you from email alerts unless you separately request that.

6. Accuracy Disclaimer

The Service provides information sourced from public municipal data, third-party data providers, and our own data collection. We make reasonable efforts to ensure accuracy, but we do not guarantee the accuracy, completeness, or timeliness of any alert or notification.

Specifically:

• Garbage pickup schedules may change without notice from the City of Boise or Republic Services
• Street sweeping may be delayed or cancelled due to weather or operational changes
• Construction and closure alerts depend on the availability of public data

You remain solely responsible for complying with all local parking laws, ordinances, and posted signage. Boise Street Smarts alerts are informational only and do not constitute legal advice or a guarantee that no ticket, tow, or penalty will occur.

7. Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to our systems, databases, or user data
• Scrape, harvest, or collect data from the Service without our written consent
• Use the Service to harass, spam, or harm other users or third parties
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Service or servers connected to the Service

8. Intellectual Property

All content, branding, software, data compilations, and materials on the Boise Street Smarts platform are owned by or licensed to Boise Street Smarts LLC. You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our prior written consent.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOISE STREET SMARTS LLC AND ITS MEMBERS, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Parking tickets, fines, or towing charges resulting from missed or inaccurate alerts
• Loss of income or revenue
• Data loss or corruption
• Any damages arising from your interactions with Local Service Providers

Our total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the total amount you have paid us in the twelve (12) months preceding the claim (which for free users is zero dollars).

10. Indemnification

You agree to indemnify, defend, and hold harmless Boise Street Smarts LLC and its members, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

11. Service Availability and Modifications

We do not guarantee uninterrupted or error-free service. We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time with or without notice. We may also update these Terms at any time. Material changes will be communicated by updating the Effective Date and, where appropriate, by emailing registered users.

12. Termination

You may stop using the Service at any time by contacting us to delete your account. We reserve the right to suspend or terminate your access to the Service at our discretion if you violate these Terms or engage in conduct we determine to be harmful to the Service or other users.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Ada County, Idaho, and you consent to the personal jurisdiction of those courts.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Boise Street Smarts LLC regarding the Service and supersede all prior agreements and understandings.
